Scope of Application
These General Terms and Conditions (GTC) apply to all services provided by Ayed Real Estate GmbH, Kantstraße 53, 14612 Falkensee (hereinafter "AYEDRE"), including real estate consulting, project development, architectural planning, construction, renovation, and related services. By engaging our services, clients agree to these terms.
Services
AYEDRE provides real estate and construction services including architectural planning, structural engineering, demolition, renovation, drywall, roofing, garden work, garden houses, and general property repairs. The specific scope of services is defined in individual project agreements or service orders.
Quotations and Orders
All quotations provided by AYEDRE are non-binding unless expressly stated otherwise in writing. An order is considered accepted only upon written confirmation by AYEDRE. Changes to agreed service scope must be confirmed in writing to be binding.
Prices and Payment
All prices are net prices in Euros plus applicable VAT. Payment terms are specified in individual project agreements. Unless otherwise agreed, invoices are due and payable within 14 days of the invoice date. In case of late payment, statutory interest rates apply in accordance with § 288 BGB.
Client Obligations
The client is responsible for providing all necessary permits, approvals, and access required to carry out the agreed services. The client must ensure that the property is accessible on agreed dates and that all relevant information about existing structures, utilities, and conditions has been disclosed to AYEDRE prior to commencement of work.
Execution of Works
AYEDRE carries out all work in accordance with the applicable German building codes, DIN standards, and professional standards of the trade. AYEDRE reserves the right to use qualified subcontractors. The client will be informed if subcontractors are engaged for any significant portion of the work.
Completion and Acceptance
Upon completion of work, the client is required to perform a formal acceptance (Abnahme) within a reasonable period. Defects discovered during acceptance must be documented in writing. Minor defects that do not impair the usability of the work do not entitle the client to refuse acceptance.
Warranty
AYEDRE provides a warranty for defects in accordance with §§ 633 et seq. BGB (German Civil Code). The warranty period is 5 years for construction works and 2 years for other services, commencing from the date of formal acceptance. Defects must be reported in writing without undue delay.
Liability
AYEDRE is fully liable for damages caused by intent or gross negligence. For slight negligence, liability is limited to foreseeable, contract-typical damages. Liability for indirect damages, loss of profit, or consequential harm is excluded to the extent permitted by law.
Confidentiality
Both parties agree to treat all project-related information, plans, specifications, and business details as confidential and not to disclose them to third parties without prior written consent, except where disclosure is required by law or regulation.
Intellectual Property
All architectural drawings, plans, concepts, and designs created by AYEDRE remain the intellectual property of AYEDRE unless otherwise agreed in writing. The client is granted a non-exclusive right to use these materials solely for the purposes of the agreed project.
Cancellation and Termination
Either party may terminate the contract for good cause (außerordentliche Kündigung) without notice. In case of client-initiated cancellation without good cause, AYEDRE is entitled to invoice for all work completed plus reasonable costs incurred up to the date of cancellation.
Governing Law and Jurisdiction
These terms are governed by the laws of the Federal Republic of Germany. The place of jurisdiction for all disputes arising from or in connection with these terms and services is Berlin, Germany, provided the client is a merchant (Kaufmann) or legal entity under public law.
Dispute Resolution
AYEDRE is not obligated to participate in dispute resolution proceedings before a consumer arbitration board. In the event of disputes, we encourage direct communication to reach an amicable solution. For inquiries, contact us at info@ayedre.de or +49 1573 79 73 223.
Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
